EXCLUSIVE RIGHT TO SELL AGREEMENT

1. PROPERTY: Seller represents that they are the legal titleholder to the Property commonly known as: 2022 N 5 Mile Rd, Sanford, MI 48657 and have the right to sell the property (actual legal description to be verified by title company). Seller agrees to offer for sale the Property, fixtures, and all improvements thereon.

2. LISTING PRICE: The Property and all improvements are offered for sale at a listing price of Three Hundred Thirty Thousand Dollars ($330,000). Seller is solely responsible for determining the appropriate selling price of the property.

3. TERM: This agreement shall commence on 3/16/24 and end 180 days thereafter unless a sold/closed transaction ends this agreement sooner.

4. COMPENSATION: If a ready, willing, and able purchaser is obtained during the term of this contract or any extension of this contract, owner(s) agree/s to pay Listing Broker 3% of the selling price as commission for services rendered. There will be no cooperation, co-broke, or buyer’s agent commission or compensation offered, nor will any one party agreements or negotiations for buyer’s agent commission be accepted.

5. SERVICES PROVIDED: This is a PRIVATE LISTING and includes the following limited services ONLY:

(a) Initial consultation covering the process, required information, and expectations.
(b) Highlighted digital photography of 10 images or less. Images used are at sole discretion of the Listing Broker.
(c) Private Listing marketing campaign using email lists, Latest Realty Website, and social media advertising.
(d) Insertion in MyStateMLS and Zillow if off market campaign fails to yield an offer within 14 days.
(e) Lead based paint disclosure, seller disclosures, and any other legally required forms to list the property.
(f) Assistance in procuring, drafting, negotiating, and executing offers via the Latest Realty offer platform.
(g) Non representative service to the buyer to assist in the transaction and closing process.

6. SELLER AGREES TO INDEMNIFY, DEFEND, AND HOLD BROKER HARMLESS FROM:

(a) any violation of any ordinance, regulation, statute or law regarding Seller’s disclosure obligations;
(b) any violations of any federal, state, or local law concerning fair housing;
(c) any complaints made by a buyer before or after possession with respect to any defects in the property.
(d) any claims, demands, suits, damages, liability, losses, costs or expenses including attorneys fees arising out of any seller misrepresentation, negligence, non-disclosure, concealment, non-performance of any purchase or sale agreement, the use of a lock box, or payment of any commissions by Seller in connection with sale of the property including, without limitation, the inaccuracy or incompleteness of any information provided by Seller for listing on the MLS. This clause will survive Brokers performance and the transfer of title.

7. DISCLOSURE: Seller acknowledges that Michigan law may require Seller to provide a Buyer with a Residential Property Disclosure form or other similar forms requiring the disclosure of conditions or defects in the Property (i.e. lead based paint, agency, etc.). Broker shall provide Seller with necessary legally required disclosure forms, seller is responsible for obtaining any other forms. Broker recommends that Seller consult with legal counsel concerning Seller’s disclosure requirements or the completion of any disclosure form. Seller agrees to indemnify and hold Broker harmless for any violation of any ordinance, regulation, statute or law regarding Seller’s disclosure obligations.

8. EQUAL AND FAIR HOUSING LAWS: Seller acknowledges pursuant to the Equal Housing Opportunity laws that Seller has a responsibility and a requirement not to discriminate in the sale of Property on the basis of race, color, religion, sex, handicap, familial status or national origin. Seller cannot instruct Broker to convey for you any limitations in the sale of the Property based upon any of the foregoing, as bound by the law.

9. RELEASE: Seller acknowledge that neither Listing Broker nor Selling Broker, nor their respective agents, have made any representations concerning the condition of the property covered by this Agreement or the marketability of title, and Buyer and Seller release the Listing Broker and Selling Broker and their respective agents, with respect to all claims arising out of or related to this Agreement, any addendums or counteroffers; all claims arising from any purported representations as to the physical and environmental condition of the property covered by this Agreement or the marketability of title; and all claims arising from any special assessments and/or utility bills which have been or may in the future be charged against the property covered by this Agreement and, in addition, agree to indemnify and hold harmless the Listing Broker and Selling Broker and their respective agents from any and all claims related to those matters.

10. LICENSEE DISCLOSURE: I hereby disclose that the agency status of the licensee named below is: SELLER’S AGENT.
